Hapag-Lloyd and FIMI submitted a proposal to amend the $4.2 billion acquisition of ZIM, adding terms about control rights, service routes, fleet, personnel, and Israel’s maritime security of ZIM.

According to Israeli media, Hapag-Lloyd CEO Rolf Habben Jansen arrived in Israel on September 24. Along with FIMI Opportunity Funds, managed by Ishay Davidi, Hapag-Lloyd submitted to Israeli authorities a proposal to amend the $4.2 billion acquisition of ZIM.
Hapag-Lloyd and FIMI said the new proposal was designed to address concerns raised by Israeli authorities during the deal review process, while also strengthening ZIM Israel’s role as an Israel-owned and operated container shipping company.
Under the original deal structure, Hapag-Lloyd would buy 100% of ZIM’s shares at $35 per share. A new entity controlled by FIMI would take over part of the operations separated from ZIM, starting with 16 ships and taking on obligations related to Israel’s Special Share (Golden Share).

Earlier, Israeli authorities had raised concerns about ZIM Israel’s financial capabilities and scope of operations after restructuring, as well as Israel’s control over the shipping company and its ability to maintain important shipping routes and supply chains in emergencies.

The new proposal includes 10 key changes to the transaction structure. Hapag-Lloyd and FIMI said detailed documents, including related commitments and agreements, will be completed and submitted within 45 days.

- Adding more Far East routes: ZIM Israel plans to operate a weekly route to the Far East, in addition to the initial Atlantic and Mediterranean routes.
- Expanding refrigerated cargo capacity: ZIM Israel plans to expand its cold cargo capacity, with proposed reefer capacity expected to double compared to ZIM’s current capacity.
- Access to a global network: Hapag-Lloyd will sign a long-term commercial agreement with ZIM Israel, facilitating access to Hapag-Lloyd’s global container shipping network.
- Maintaining capacity in Israel: Ship management operations and the maritime professional team will continue to be maintained in Israel. ZIM Israel will also operate an independent IT system in the country.
The addition of the Far East route is one of the notable changes, aimed at expanding ZIM Israel’s operational scope compared to the original structure. According to the new proposal, ZIM Israel’s network will include routes to the Far East, across the Atlantic, and the Mediterranean.

FIMI will also present an updated business plan for ZIM Israel. According to a report cited by Calcalist, this plan expects ZIM Israel’s revenue to increase by about $1.7 billion over 10 years, while profit is projected to grow by around $200 million over the same period. This growth is mainly expected to come from additional commercial activities on the Far East route.
FIMI stated that the business plan will be supported by independent evaluations from international consulting firms. The projected report also includes assessments of the feasibility of the business model and financial plan, along with legal opinions related to Hapag-Lloyd’s corporate governance structure.
One of the issues being considered is Hapag-Lloyd’s ownership structure and concerns related to foreign investors. According to the proposed report, the parties also emphasized that Hapag-Lloyd has continued to provide services to Israel since October 2023, even during periods when security conditions disrupted maritime operations.

Adding labor commitments

The proposed amendments also include provisions related to Israeli workers. Accordingly, a special collective labor agreement will ensure jobs for most of ZIM’s current staff while maintaining training and expanding the Israeli crew.
The parties also proposed a “job security network” for 10 years, adding terms on voluntary retirement and a commitment not to lay off staff until the end of 2027.
In addition, Hapag-Lloyd and FIMI plan to expand the Israeli crew in the coming years to maintain and develop the country’s maritime workforce.

Even though the transaction structure has been adjusted, the deal value still stays at $4.2 billion, equivalent to $35 per ZIM share.
Hapag-Lloyd and FIMI expect to complete the detailed documentation within 45 days to continue working with Israeli authorities. The initial expected completion date for the deal was the end of 2026; however, the timeline could extend into mid-2027 as the parties need more time to finalize and review the revised structure.
